Billing, Subscription and Refund Terms

Plans, trials, usage fees, payment, late payment and cancellation.

These terms describe how subscriptions to Dinebase are charged. They form part of the Terms of Service. All amounts are in Swedish kronor (SEK) and include Swedish VAT at 25% unless stated otherwise.

1. Plans

Dinebase is offered in tiers. Lite covers the core reservation workflow. Higher tiers add features such as floor plans, sections, waitlist, SMS and card holds. The features included in each tier are shown in the application at the time of purchase and may be developed over time.

2. Trials

Where a free trial is offered on a paid tier, its length is shown in the application at the time you choose the plan (currently 30 days on Lite and 14 days on Dinebase and Dinebase Pro). Unless cancelled before the trial ends, the subscription continues and the first payment is charged automatically. Only one trial per restaurant.

Reservations created manually by staff are not charged as online reservations. Usage counters are visible in the application.

Yearly plans: if you pay the platform fee yearly, that fee is invoiced once per billing year in advance. Usage fees (online reservation fees and, where applicable, SMS) are invoiced monthly in arrears on a separate recurring charge to the same payment method, because usage cannot be settled a year ahead.

When an online reservation fee becomes final: the fee for an online reservation becomes payable 24 hours before the reserved seating time. Before that point the fee is waived if the guest cancels, or if the restaurant declines a reservation request that was never confirmed. From that point onwards the fee stands regardless of what happens next.

4. Payment

Payment is by card through our payment provider. By subscribing you authorise recurring charges for the platform fee and any usage fees. Card details are handled by the payment provider; we never store full card numbers.

Invoices and receipts are available in the application and sent by email to the billing contact.

5. Late payment and grace period

If a payment fails, the payment provider retries. The subscription enters a past-due state and you have a 7-day grace period in which the service continues to work normally and reminders are sent.

If the invoice remains unpaid after the grace period, access to the application may be restricted until payment is made. Public booking pages may also be disabled. Statutory interest on overdue amounts and reminder fees under Swedish law may be applied.

6. Price changes

We may change prices with at least 30 days' notice by email or in the application. A price change takes effect at the start of the next billing period. If you do not accept it, you may cancel before it takes effect.

7. Cancellation

You may cancel at any time in the application. The subscription remains active until the end of the current billing period; it is not prorated. Usage fees accrued before cancellation are still charged on the final invoice.

8. Refunds

Subscription fees are non-refundable except where required by mandatory law, where we have incorrectly charged you, or where we agree in writing to a refund following a prolonged service failure attributable to us. Usage fees for reservations that actually occurred are not refundable.

The service is sold to businesses. The statutory consumer right of withdrawal does not apply.

9. Fees the restaurant charges its own guests

No-show and late-cancellation fees configured by a restaurant are charged by the restaurant to its own guests, using the restaurant's own connected payment account. [LEGAL ENTITY NAME] is not a party to that charge and does not decide whether it is applied.

10. Taxes

All prices shown in the application, on our website and in these terms include Swedish VAT at 25%. The price you see is the amount you are charged; your invoice states the VAT amount separately. If you are established in another EU country and provide a valid VAT registration number, the reverse charge mechanism may apply — in that case the VAT component is removed and only the net amount is charged. If the applicable VAT rate changes, the VAT-inclusive price may be adjusted so that the net amount stays the same.
